1. Scope & Acceptance

These Terms govern all services provided by Titan Industrial Consulting LLC (“Titan”). Customer
accepts these Terms by issuing a PO, approving a quote, delivering equipment, authorizing work, or
making payment.

2. Quotes, Pricing & Scope Changes

Quotes valid 30 days. Internal failures may require revised pricing. Titan will not proceed with out-of-scope work without approval.

3. Payment Terms

All payment terms subject to Titan credit approval. Standard terms: Net 30 days. Late invoices accrue 1.5% monthly. Titan may hold equipment or suspend work for unpaid invoices.

4. Lead Times & Rush Repair

Lead times are estimates. Rush Repair target: 3 business days. Rush fee waived automatically if Titan exceeds 3 days.

5. Risk of Loss, Shipping & Storage

Customer responsible for freight. Risk transfers upon shipment. Equipment left 60+ days may incur storage or be considered abandoned

6. Warranty

90 day workmanship warranty on Titan-performed repairs only. Warranty void if misused, damaged, altered, or improperly installed.

7. Liability Limitation

Titan not liable for indirect, special, consequential damages or downtime. Liability capped at amount paid for service.

8. Returns, Credits & Parts

Diagnostics, engineering, rush fees, and custom repairs non-refundable. Credits expire after 12 months.

9. Export Compliance

Customer must comply with all U.S. export regulations.

10. On-Site Service & Safety

Customer must provide safe, OSHA-compliant access.

11. Intellectual Property & Confidentiality

Titan retains all repair processes, documentation, and IP.

12. Governing Law

Georgia law governs. Venue: Atlanta, GA.

13. Entire Agreement

These Terms constitute the full agreement.
